Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the RoofGuard.AI website, platform, and roof monitoring services (the "Service") operated by Exall Group Limited ("we", "us", "our"), a company registered in England and Wales.

By accessing our website or using our Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree with these Terms, please do not use our Service.

2. Description of Service

RoofGuard.AI provides AI-powered roof monitoring for commercial properties. The Service includes installation of solar-powered camera hardware on your roof, automated image capture at regular intervals via 4G cellular connectivity, AI-powered analysis of images to detect issues such as ponding water, debris accumulation, and structural damage, automated alert delivery via email and SMS with annotated imagery, monthly inspection reports, and access to our online dashboard and mobile application (when available).

3. Account Registration

To use the Service, you must complete an installation request and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account at hello@roofguard.ai.

4. Subscription and Payment

4.1 Pricing

The Service is provided on a monthly subscription basis at the price stated at the time of your installation request. The current price is £95 per camera per month. All prices are exclusive of VAT unless otherwise stated.

4.2 What's Included

Your monthly subscription includes all camera hardware and installation, 4G data and telecommunications charges, AI analysis and defect detection, email and SMS alert delivery, monthly inspection reports, and access to the customer dashboard and mobile app.

4.3 Contract Term

The minimum contract term is 24 months from the date of installation. After the initial term, the contract will continue on a rolling monthly basis unless terminated by either party with 30 days' written notice.

4.4 Payment

Payment is due monthly in advance. We will invoice you or charge your agreed payment method on or around the same date each month. Late payments may incur interest at 4% above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4.5 Price Changes

We may increase prices by giving you at least 60 days' written notice. If you do not agree with a price increase, you may terminate the contract at the end of your current billing period by providing written notice before the new price takes effect.

5. Installation and Hardware

5.1 Installation

We will arrange installation at a mutually agreed time. You must ensure we have safe and reasonable access to the roof and any necessary permissions from the building owner or managing agent. Installation is typically completed within 15 minutes per camera and does not require roof penetration or mains power.

5.2 Hardware Ownership

All camera hardware and equipment remains the property of Exall Group Limited for the duration of the contract. You must not tamper with, move, modify, or remove the hardware without our prior written consent. Upon termination of the contract, we will arrange collection of the hardware at no additional cost to you.

5.3 Site Access

You agree to provide us with reasonable access to the installation site for the purposes of installation, maintenance, repair, and removal of equipment. We will provide reasonable notice before any site visits except in the case of emergencies.

6. Service Levels and Limitations

6.1 AI Detection

Our AI detection system is designed to identify common roofing issues including ponding water, debris, and visible structural damage. While we strive for high accuracy, AI detection is not infallible. We do not guarantee 100% detection of all defects and the Service should not be relied upon as a substitute for professional roof inspections.

6.2 Availability

We aim to provide continuous monitoring but cannot guarantee uninterrupted service. Factors that may affect service availability include adverse weather conditions, 4G network outages, solar power limitations during extended periods of low light, and scheduled maintenance. We will notify you of any planned maintenance in advance.

6.3 Alerts

Alerts are delivered via email and SMS to the contacts you designate. We are not responsible for delays or failures in alert delivery caused by third-party email or SMS providers, incorrect contact details, or spam filters or network issues on your end.

7. Your Responsibilities

You are responsible for ensuring you have the legal right or permission to install monitoring equipment on the property. You must maintain safe access to the roof for installation and maintenance purposes. You are responsible for acting on alerts and reports in a timely manner—we provide monitoring and detection, but remedial action remains your responsibility. You must notify us promptly of any damage to or malfunction of the camera hardware, and you must not obstruct or interfere with the camera's field of view.

8. Intellectual Property

All intellectual property rights in the Service, including our website, AI algorithms, software, branding, and documentation, are owned by Exall Group Limited. Roof imagery captured by our cameras is owned by us but you are granted a licence to use such imagery for your own internal purposes for the duration of your contract. You may not copy, modify, distribute, sell, or lease any part of our Service or software.

9. Limitation of Liability

9.1 Service Limitations

The Service is a monitoring and detection tool. We do not provide roofing repair or maintenance services. We are not liable for any damage to your property that occurs despite our monitoring, nor for any losses arising from a failure to detect a defect or from a delay in alert delivery.

9.2 Cap on Liability

To the maximum extent permitted by law, our total aggregate liability to you under or in connection with these Terms shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.

9.3 Exclusions

We do not exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other matter for which it would be unlawful to exclude or limit liability.

10. Termination

10.1 By You

You may terminate the contract at the end of the initial 24-month term by providing 30 days' written notice. Early termination during the minimum term will require payment of the remaining monthly fees for the balance of the minimum term.

10.2 By Us

We may terminate or suspend the contract immediately if you fail to pay any amount due under the contract within 30 days of the due date, you breach any material term of these Terms and fail to remedy the breach within 14 days of written notice, or you become insolvent, enter administration, or are subject to a winding-up petition.

10.3 Consequences of Termination

Upon termination, we will arrange removal of camera hardware from your property at no cost. Your access to the dashboard, reports, and historical data will be available for 30 days following termination, after which it will be deleted in accordance with our Privacy Policy.

11. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, civil unrest, power failure, internet or telecommunications failure, or government action.

12. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. Before bringing any claim, both parties agree to attempt to resolve any dispute through good faith negotiation for a period of at least 30 days.

13. General

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us relating to the Service. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision. We may assign or transfer our rights and obligations under these Terms without your consent. You may not assign or transfer your rights without our prior written consent.
